Cautionary Statement to US Investors
As stipulated by NI 43-101, the mineral resource estimate prepared uses the Canadian Institute of Mining, Metallurgy and Petroleum's (CIM) Estimation of Mineral Resources and Mineral Reserves Best Practices Guidelines. The CIM guidelines, as well as the Australian (JORC code as incorporated in ASX rules), South African (SAMREC code as incorporated in JSE rules), and European professional societies, define the term Mineral Resources and recommend disclosure of Mineral Resources according to guidelines set in place to ensure that such disclosure is not misleading.
The Canadian, Australian and South African regulators recognize the definitions of Measured, Indicated and Inferred Mineral Resources set by national professional societies, and require that these terms be used for public reporting. However, the U.S. Securities and Exchange Commission (SEC) does not recognize the terms "inferred", "indicated" and "measured" "resources".
According to SEC Industry Guide 7 (as interpreted by the staff of the SEC), "estimates other than proved and probable reserves must not be disclosed unless (a) such information is required to be disclosed by foreign or state law, or (b) such estimates have been previously provided to an entity that is offering to acquire, merge, or consolidate with, the registrant or otherwise to acquire the registrant's securities. The term "resources" cannot be used. Material other than reserves can be reported as "other mineralized material". This term is not defined but is generally understood to be equivalent to Measured and Indicated Resources.

General Provisions
This Agreement constitutes the entire agreement between Western Goldfields and you pertaining to the subject matter hereof and supersedes all prior communications, whether electronic, written or verbal, between Western Goldfields and you with respect to this Site. A printed version of this Agreement and of any notice given in electronic form shall be admissible in judicial or administrative proceedings based upon or relating to this Agreement to the same extent and subject to the same conditions as other business documents and records originally generated and maintained in printed form. Any failure by Western Goldfields to insist upon or enforce strict performance of any term of this Agreement shall not be construed as a waiver of any provision or right. If any of the terms contained in this Agreement are determined to be void, invalid or otherwise unenforceable by a court of competent jurisdiction, such determination shall not affect the remaining terms contained herein. This Agreement shall be governed by and construed in accordance with the laws of the Province of Ontario and the laws of Canada applicable therein. The parties expressly request and require that this Agreement and any related documents be drawn up solely in the English language.
